Agreement to Terms

Welcome to sevendial. These Terms and Conditions ("Terms") govern your access to and use of our B2B marketplace platform, including all features, services, and content available through the platform.

By accessing or using our platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our platform.

Definitions

• "Platform" refers to the sevendial marketplace website and services
• "User" means any person who accesses or uses the platform
• "Vendor" means a registered supplier or manufacturer on the platform
• "Architect" means a registered buyer or architect on the platform
• "Content" means all information, data, text, images, and materials on the platform

User Registration and Account

To access certain features, you must register and create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Use the platform only for lawful business purposes

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.

User Roles and Responsibilities

For Vendors:

• Provide accurate product information and specifications
• Honor quoted prices and delivery timelines
• Respond to inquiries in a timely manner
• Maintain valid business licenses and certifications
• Comply with all applicable laws and regulations

For Architects:

• Provide clear and accurate project requirements
• Communicate professionally with vendors
• Review quotes and bids fairly
• Respect intellectual property rights

Platform Usage Rules

You agree NOT to:

• Use the platform for illegal or unauthorized purposes
• Violate any applicable laws
• Infringe intellectual property rights
• Post false, misleading, or defamatory content
• Engage in spam, phishing, or fraud
• Disrupt platform operations
• Attempt unauthorized system access
• Scrape or harvest data
• Impersonate another person or entity

RFQ and Bidding Process

• RFQs and bids are binding offers
• All parties must act in good faith
• sevendial acts only as a facilitator
• Users are responsible for their own contracts
• Disputes must be resolved between parties

Intellectual Property

• All platform content is owned by sevendial or licensors
• You may not copy or distribute content without permission
• You retain ownership of content you upload
• You grant us a license to use uploaded content

Membership and Payment Terms

• Membership fees are non-refundable unless stated
• Plans auto-renew unless cancelled
• Pricing may change with 30 days’ notice
• Payments must use approved methods
• Taxes are user responsibility

Limitation of Liability

• Platform is provided “as is”
• No liability for indirect or consequential damages
• Liability limited to fees paid in last 12 months
• No responsibility for third-party content

Termination

We may suspend or terminate accounts immediately for violations. Upon termination, access ceases and applicable provisions survive.

Governing Law and Dispute Resolution

• Governed by laws of India
• Negotiation → Mediation → Arbitration
• Arbitration in New Delhi, India
• Courts of New Delhi have exclusive jurisdiction
